Representative Experience
  • Represented a publicly-held operator of high-end health and fitness clubs in selling selected clubs that operated primarily in the East to one of the operator’s shareholders for $80 million; as part of the sale, we also represented the company in refinancing $50 million of real estate-secured debt
  • Represented The Sports Club/LA in a series of credit facilities, totaling approximately $80 million, connected to the refinancing of its heath clubs in Southern California
  • Represented Awareness Corp., a multilevel marketing dietary supplement company, in a case against former distributors for copyright infringement, trade secret misappropriation, intentional interference with contractual relations, and related claims; obtained a preliminary injunction against the distributors as well as partial summary judgment; after three years of litigation and two mediations, case settled favorably
  • Counseled the Oakland Athletics baseball club on the acquisition and development of approximately 140 acres of land for a new baseball stadium and entertainment and residential project to be located in Fremont, California
  • Represented Olympic gold medalist and World Champion boxer Oscar De La Hoya. As well as his boxing company Golden Boy Promotions, in a variety of matters including business acquisitions, strategic alliances and grants of equity interests to boxers and key executives
  • Represented a sports icon in acquiring an equity interest in, and finalizing a multi-year contract to serve as head coach of, an NHL hockey team; represented this same individual in dozens of endorsement and licensing arrangements with companies as varied as Anheuser-Busch, Ford, McDonald’s and Pepsi
  • Represented an Olympic gold medal figure skater in connection with his involvement in the production and staging of a professional figure skating touring company
  • Counseled The Racquet Club of Palm Springs and the other sellers of a historic hotel complex in the Palm Springs; at issue was the defense of an action for specific performance and damages brought by the buyer after the buyer failed to close escrow timely in the purchase and sale of the property; the seller terminated the sale; the buyer claimed breaches of the purchase and sale agreement and fraud, and the seller claimed that the buyer could not raise the funds necessary to close; we obtained an order expunging the buyer’s lis pendens, after which the seller resold the property to a third party and the action became limited to damages; after a month-long bench trial, the court awarded judgment to our client, the seller
  • Served as special counsel to the Los Angeles Coliseum Commission as to CEQA and related regulatory matters in its negotiations with the National Football League
  • Represented Hockey Hall of Fame icon in the formation and structuring of website development and content agreement

  • Represented Glu Mobile, a leading publisher of games software for download to mobile phones, in the negotiation of download deals with many leading Latin American wireless carriers, including numerous affiliates of América Móvil throughout Latin America; deals were all completed in Spanish
  • Represented Ubisoft Entertainment, one of the world’s largest video game publishers, in a license dispute against MGA Entertainment, the owner of the girl doll property known as “Bratz,” which resulted in a $13 million judgment in favor of Ubisoft
  • Successfully negotiated and closed one of the most significant video game deals in the industry on behalf of Ubisoft Entertainment in an acquisition of rights to use bestselling author Tom Clancy's name and likeness in connection with interactive games, related books and motion pictures
  • Defended massively multiplayer online role playing video game publisher, K2 Networks, in copyright infringement, breach of contract and computer fraud and abuse act case filed by Mgame Corporation simultaneously in California state court, California federal court and the Singapore International Arbitration Centre 
  • Defended Ubisoft Entertainment against a copyright infringement case brought by John Beiswenger alleging that Ubisoft’s Assassin’s Creed video game infringed Beiswenger’s novel Link, resulting in Beiswenger dismissing his case at the pleading stage
  • Represented Crave Entertainment in a video game development dispute against Visiware Entertainment, a video game developer, which resulted in an award in favor of Crave for 100 percent of the damages sought by Crave along with all of its attorneys’ fees and costs
  • Represented Ubisoft Entertainment in its acquisition of the name and likeness rights of Michael Jackson for use in the video game Michael Jackson: The Experience
  • Represented Spark Unlimited, the developer of video games Call of Duty Finest Hour, Turning Point: Fall of Liberty and Legendary: The Box, in a breach of contract and fraud claim against Activision Publishing
  • Represented Savage Entertainment, a video game developer whose work includes Transformers, Blacksite, Medal of Honor: Vanguard and U.S. Army: DARPA Real World, in a breach of contract dispute with video game publisher Take Two Interactive
  • Defended video game publisher and developer, Nobilis, in breach of contract case filed by Southpeak Interactive, resulting in a dismissal of the case at the pleading stage
  • Represented Gameloft, a mobile phone interactive gaming publisher, in copyright and trademark infringement action brought against it by Activision Publishing
