Representative Experience

  • Ongoing representation of Roland Corporation, one of the largest manufacturers and distributors of musical instruments, in structuring all of its credit and security transactions with retail dealers and financing companies.
  • Represented a privately-held internet video streaming company in a sale to a large, publicly-held media company for $52 million.
  • Represented a privately-held financial software developer in a sale to a publicly-held financial services company.  The deal involved a combination of cash and securities valued at approximately $30 million.
  • Counseled software and other licensors as to OEM, marketing and other sales arrangements relating to the distribution of their products and services.
  • Represented Logitech Inc., one of the world’s leading computer peripheral and electronics manufacturers, in the development of an international warranty for use throughout the world, and in the structuring of its Latin American operations.
  • Designed the BitTorrent-based, peer-to-peer license for one of the major Hollywood studios that sought to use a web-based service to deliver film trailers and other promotional content.
  • Represented a privately-held special effects company in a sale of its business and assets to Apple Computer.
  • Represented an Academy Award-winning CGI/special effects company in connection with its creation and development of a ride at a theme park in the United Arab Emirates.  We represented the same company in structuring a venture with a French company designed to expand both entities’ businesses throughout the world.
  • Conducted a survey for Symantec Corp. in more than 25 Latin American countries on whether automatic renewal, and charging a customer’s credit card, in the context of annual antivirus online subscriptions is permissible.
  • Negotiated Internet portal or website development deals for a variety of web-based companies. These include the world’s largest production music library, APM music, one of the world’s leading film stars and an Internet site focusing upon child actors, Children in Film.
  • Handled all terms and conditions of use and privacy for a wide variety of Internet sites and companies including James Ray International and Adlink, a leader in cable TV advertising.
  • Negotiated a complex license for Aldon Computer Group with one of the world’s largest banks.
  • For Informatica Corp. of Redwood City, we negotiated a number of professional services and other deals with Fortune 100 companies, leading railroads and electric utilities.
  • Conducted open source audit for PassMark Security Inc., which was sold to RSA Security Inc., in order to ensure that it was in full compliance with all open source software licensing requirements.
  • Sale of client iFilm, a major video sharing website, to Viacom/MTV. Transaction involved many copyright issues in the process of conducting intellectual property due diligence.
  • Handled complex licensing deals for software companies Aldon Computer Group and Informatica with a number of Fortune 100 companies, railroads and electric utilities, and the world’s largest financial institutions.
  • Represent APM Music, the world’s largest production music library, similar to an “iTunes” for the film, TV and videogames industries and owned by EMI Music Publishing and UMG.  We handle many of the license and technology deals for the company, an increasingly eCommerce company with a web interface.
  • Designed the web-based Software-as-a-Service license for a new Informatica Corporation product that will be available only via Internet access.
  • On behalf of an Internet security software manufacturer that was sold to RSA Security Inc., and ultimately to EMC, we negotiated many software license deals with large financial institutions and value-added resellers.
