Bernie Shearer has over 40 years’ experience representing clients in a variety of industries, including service, sales, manufacturing and finance businesses. 

Mr. Shearer focuses upon the organization, structure, debt and equity financing, purchase and sales of such businesses, as well as ongoing advice on all aspects of day-to-day operations.

Complex Business Experience

  • Represented a 50-store check cashing and payday loan business in the sale of its stock to a financial institution.  For many years, represented the client in all aspects of its business activities, including regulatory matters with the Department of Corporations and the Department of Financial Institutions
  • Represented a client in the acquisition of fixed-base operations at airports in New York and Arkansas and in the sale of fixed-based operations at airports in New York and Santa Monica
  • Represented several clients in the sale or acquisition of individual and chains of automobile dealerships; these transactions involve both private and public purchasers
  • Represented the stockholders of a technology company in the sale of their stock to a private equity fund
  • Represented the sellers of a privately held manufacturer in the airplane industry in a high nine-figure sale of their stock to a foreign purchaser; the sale involved operations in a number of foreign countries
  • Represented a company engaged in the financing of medical procedures in connection with its structure, financing and regulatory compliance
  • Represented the owners of public relations firms in the sale of their equity to public companies in transactions involving substantial earn-outs
  • Represents a number of clients in service businesses, such as architecture or education, in the structure or re structure of their businesses to facilitate key-employee participation and succession
