Shiyi Fan is Counsel in the Corporate Group.
Shiyi advises companies across the full corporate life cycle, from pre-incorporation planning and entity formation through venture financings, secondary transactions, and exits. He has led numerous SAFE, convertible note, and series equity financings, guiding clients from the term sheet stage through closing, and provides ongoing counsel on post-closing and general corporate matters, including subsequent fundraising rounds, equity grants, board governance, and commercial contracts.
Prior to joining Greenberg Glusker, Shiyi was Counsel at a boutique corporate law firm in Los Angeles, where he represented venture capital funds and emerging companies in financings and secondary transactions. He previously spent several years at Am Law 100 firms, where he advised emerging companies and their investors in strategic transactions, financings, and corporate governance matters, and represented private equity funds and their portfolio companies in mergers and acquisitions and debt finance.
