Representative Matters

SaaS & E-Commerce

  • Represents leading e-commerce technology company Assembly in its acquisitions of Refersion, PipeCandy, Order Metrics, Prestozon and other businesses, as well as general day-to-day matters.
  • Assisted Assembly, a provider of multiple e-commerce-focused enterprise SaaS solutions, with preparing standard customer contracts, joint development deals, terms of service and privacy policies.
  • Represented a social media marketing SaaS platform in its negotiations with its software developers and television network clients and the raising of Series A financing.

Video Games & Social Apps

  • Provide outside general counsel services to Riot Games, including assisting with talent and content deals, intellectual property disputes, and backend technology agreements.
  • Represented Ironmace Co., Ltd. in a lawsuit brought by Nexon, which employed two Ironmace founders, with a successful outcome.
  • Represents social gaming app Powder in its $14 million Series A financing and other corporate matters.
  • Negotiated the license to Exploding Kittens’ card game to Netflix to create a mobile game and TV show.
  • Provide outside general counsel services to game maker Exploding Kittens, including negotiating an IP license with a major studio for a branded game, negotiating a digital game license with a major game distributor, preparing agreements for its creator/influencer campaigns, drafting its standard game designer agreement and assisting with the IP elements of the strategic investment transaction by Asmodee.
  • Represented Gameloft, Inc. and Gameloft S.A. in defense of a claim by Activision, Inc. that Gameloft’s “Guitar Legend:  Get on Stage!” mobile phone game infringed copyrights in the “Guitar Hero” video game; the matter was settled at the pleading stage
  • Represented an online video game developer in its Series B and Series C financings and multiple buy-side acquisitions.
  • Advised an international mobile game company in its efforts to comply with the amended COPPA regulations.

Content & Media Platforms

  • Provide outside general counsel services to Barstool Sports, including creating and negotiating talent and content distribution agreements for its podcast and video content, negotiating major advertising and sponsorship deals, assisting with its backend tech agreements, terms of use and privacy policy, drafting and negotiating its IP licensing deals, overseeing its trademark portfolio, and providing strategy with respect to its IP disputes.
  • Represent Mammoth Media in connection with various content-based mobile projects, including preparing and negotiating talent agreements, content licensing and distribution deals (including an outbound license to a major television network and content distribution arrangements with major social media platforms), assisting in the establishment of its creator/influencer network, preparing applicable licenses for an NFT-based project and overseeing its trademark prosecution and enforcement.
  • Represented Jomboy Media in its series seed financing led by Connect Ventures.
  • Represented a social media startup in its negotiations with its software developers and television network clients and the creation of its standard master services agreement.
  • Represented VR studio RYOT in the sale of its business to AOL/Huffington Post.
  • Represents venture-backed mobile content studio in day-to-day corporate matters.
  • Represented a start-up in its negotiations with major television networks for the use of its proprietary video engagement platform.
