We represent all sizes and types of companies as well as individual investors in a variety of financing transactions, including private placements of equity and debt, public offerings, and secured and unsecured loan transactions.  Our expertise and experience allow us to craft financing transactions tailored to meet the specific capital needs of our clients.

Our Corporate Law Group attorneys negotiate and draft private placement memoranda, purchase agreements, subscription documents, investor rights agreements, loan and security agreements, as well as other credit enhancements such as guaranties and letters of credit.

Experienced in all stages of financing, we counsel clients from early “angel”-round financings to late-stage, pre-IPO financings with financial institutions, venture capitalists and private equity funds.  We handle the regulatory and securities laws issues that arise in these types of transactions, as well as advise our clients, both on the promoter-side and investor-side, on various methods to maximize the value of the issuance or investment.

To represent our clients in the full range of financing transactions, and to help them achieve both their short-term and long-term financing goals, we strive to understand our clients’ underlying businesses and to anticipate the operational issues that typically arise.  We also are experienced in bankruptcy and insolvency related matters.  Our in-depth knowledge and experience allows us to anticipate problems and construct solutions in advance of any unexpected financial distress to any party to a transaction.
